Terms & Conditions

By accessing and using this website (chvisions.com) and any services provided by Clark & Harper Visions, LLC ("CHV," "we," "us," or "our"), you accept and agree to be bound by these Terms & Conditions. If you do not agree, please do not use our website or services.

• "Company" means Clark & Harper Visions, LLC, a Texas limited liability company, Texas File #801790477, established May 24, 2013.
• "Client" means any individual or entity that purchases or uses our services.
• "Services" means web development, design, AI integration, branding, hosting, maintenance, and related digital services.
• "Deliverables" means all work product provided to the Client as part of the Services.
• "Intellectual Property" means all copyrights, trademarks, patents, trade secrets, and other proprietary rights.

CHV provides digital services including but not limited to:

• Website design and development ($500 - $1,500 per project, variable)
• Monthly maintenance and hosting ($149/month)
• Logo and branding design ($250 per project)
• AI integration and automation services
• CRM implementation and business systems

All prices are in USD. Final project costs are specified in individual Service Agreements. CHV reserves the right to adjust pricing with 30 days written notice.

• Development fees: 50% deposit due upon project commencement, 50% due upon completion.
• Monthly maintenance fees are billed automatically and due on the 1st of each month.
• Late payments subject to 1.5% monthly service charge (maximum permitted under Texas law).
• All fees are non-refundable except as required by Texas Business & Commerce Code.
• CHV accepts payment via credit card, ACH transfer, and check.

• Upon full payment, Clients receive a non-exclusive license to use Deliverables for their business purposes.
• CHV retains ownership of all underlying code, frameworks, and proprietary methodologies unless otherwise agreed in writing.
• CHV may use completed work in portfolios and marketing materials unless Client requests a non-disclosure agreement (NDA).
• Client warrants that all materials provided to CHV do not infringe third-party rights.
• All third-party assets (stock photos, fonts, plugins) are licensed according to their respective terms.

To the maximum extent permitted by Texas law:

• CHV's total liability shall not exceed the total amount paid by Client for the specific service giving rise to the claim.
• CHV is not liable for indirect, incidental, consequential, or punitive damages.
• CHV does not guarantee uninterrupted service, specific search engine rankings, or specific business outcomes.
• CHV is not responsible for Client's use of Deliverables in violation of any law or third-party right.

This limitation applies regardless of the legal theory (contract, tort, strict liability, or otherwise).

Client agrees to indemnify, defend, and hold harmless CHV, its officers, members, employees, and agents from any claim, demand, loss, liability, or expense (including reasonable attorneys' fees) arising from: (a) Client's use of the Services; (b) Client's violation of these Terms; (c) Client's violation of any third-party right; or (d) any content or materials provided by Client.

• Either party may terminate a service agreement with 30 days written notice.
• CHV may terminate immediately for non-payment or material breach.
• Upon termination, Client remains liable for all outstanding fees.
• All provisions that by their nature should survive termination shall survive.

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Dallas County, Texas. Both parties consent to the personal jurisdiction of such courts.

Texas Business & Commerce Code, Civil Practice & Remedies Code, and applicable federal law (including the Lanham Act and Digital Millennium Copyright Act) shall apply.

CHV uses cookies and similar technologies to:

• Monitor website performance and uptime
• Analyze traffic patterns and user behavior
• Provide the Website Checker diagnostic tool
• Maintain security and prevent abuse

By using our website, you consent to our use of cookies in accordance with our Privacy Policy. We comply with the Texas Data Privacy and Security Act (TDPSA), the California Consumer Privacy Act (CCPA) where applicable, and the General Data Protection Regulation (GDPR) for EU visitors.
